1. Introduction and Acceptance

Welcome to MANAfuel LLC ("Company," "we," "us," or "our"), a limited liability company registered at 228 Park Ave S, New York, NY 10003. These Terms of Service ("Terms") govern your access to and use of the MANAfuel platform, including our website at manafuel.ai, the ONE dashboard, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree, do not use the Service.

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

2. Definitions

• "Service" means the MANAfuel cloud game server hosting platform, including the web dashboard, APIs, and all related tools and features.
• "Game Server" means a dedicated game server instance provisioned and managed through the Service.
• "Content" means any files, configurations, mods, world saves, or other data you upload, store, or create through the Service.
• "Plan" means the subscription tier you select, which determines your allocated resources (RAM, CPU, storage).
• "Paddle" means Paddle.com Market Limited, who acts as our Merchant of Record for payment processing.

3. Eligibility and Account Registration

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms.

When creating an account, you must provide accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

We reserve the right to refuse, suspend, or terminate accounts at our discretion.

4. Service Description

MANAfuel provides cloud-hosted dedicated game server instances accessible through a web-based dashboard. The Service includes server provisioning, start/stop/restart controls, file management, backup tools, mod management, and console access for supported games.

The Service does NOT include:

• Game software licenses (you are responsible for ensuring you have the right to host any game)
• Full server administration or custom plugin/mod configuration support
• Guaranteed static IP addresses (IPs may change during maintenance or migrations)
• Guaranteed availability of specific server locations or hardware

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that affect your use of the Service.

5. Billing and Payments

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. All payments are subject to Paddle's Checkout Buyer Terms.

Subscriptions are billed on a recurring monthly basis and will automatically renew unless cancelled. You may cancel your subscription at any time through the dashboard; cancellation takes effect at the end of your current billing period.

We reserve the right to change our pricing. Price changes will be communicated at least 30 days in advance and will apply at the start of your next billing cycle.

If payment fails, your Game Servers may be suspended. Continued non-payment may result in termination of your account and deletion of your Content after a reasonable grace period.

Unauthorized chargebacks or payment disputes filed without first contacting us at [email protected] may result in immediate account termination.

6. Refund Policy

We offer a 14-day money-back guarantee for new subscribers on their first billing cycle. If you are not satisfied with the Service within the first 14 days of your initial purchase, you may request a full refund by contacting [email protected].

After the 14-day refund window:

• Monthly subscription fees are non-refundable for the current billing period
• If you cancel mid-cycle, you retain access to the Service until the end of your current billing period
• Pro-rated refunds are not provided for partial months of service
• No refunds are issued after 14 days from the initial purchase

Founder Pricing: Customers on Founder pricing retain their discounted rate as long as their subscription remains active. If a Founder-priced subscription is cancelled and later re-subscribed, the Founder pricing is forfeited.

Service Credits: In the event of extended service outages exceeding our uptime commitments, service credits may be issued at MANAfuel's discretion. Credit requests must be submitted within 30 days of the incident.

7. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account, including activity by players connecting to your Game Servers.

You agree NOT to:

• Use the Service for any illegal activity or to support illegal activity
• Launch or facilitate DDoS attacks, DoS attacks, port scanning, or any form of network abuse from or against our infrastructure
• Use server resources for cryptocurrency mining, blockchain operations, or non-game workloads
• Attempt to hack, exploit, or reverse-engineer the Service or other users' servers
• Distribute malware, viruses, or any harmful software through the Service
• Host or distribute content involving child exploitation (zero tolerance)
• Host content that is extremist, promotes violence, or constitutes hate speech targeting protected groups
• Send spam, phishing messages, or unsolicited communications through the Service
• Circumvent resource limits, security measures, or access controls
• Use pirated game software, unauthorized modpacks, or paid plugins/mods without valid licenses
• Violate game developer End User License Agreements (EULAs) or monetization policies
• Operate TOR exit nodes or proxy services on server resources
• Resell or redistribute access to the Service without our written consent

We may suspend or terminate your access without notice for violations of this Acceptable Use Policy. We are not liable for any enforcement actions taken in good faith.

8. Resource Limits and Fair Use

Each Plan includes defined resource allocations (RAM, CPU share). These resources run on shared infrastructure. If your usage significantly and persistently exceeds your allocated resources or negatively impacts other users, we may:

• Throttle or limit your server's resource consumption
• Request that you upgrade to a higher Plan
• Suspend the affected Game Server until the issue is resolved

We reserve the right to move Game Servers between physical nodes for load balancing, maintenance, or other operational purposes.

9. Data, Backups, and Content

Your responsibility: You are solely responsible for maintaining backups of your Content, including world saves, configurations, and mod files. You should maintain copies of important data outside of the Service.

Backup tools: We provide backup tools through the dashboard as a convenience. These backups are provided on a best-effort basis without guarantees regarding availability, accuracy, or integrity. They are not a substitute for your own backup practices.

Content ownership: You retain ownership of your Content. By using the Service, you grant us a limited, non-exclusive license to store, transmit, and back up your Content solely as necessary to operate the Service.

Data deletion: Upon account termination, your Content will be deleted after a reasonable grace period. We are not responsible for any data loss resulting from account termination, service interruptions, or technical failures.

10. Service Availability

We target 99.99% uptime for the Service and use commercially reasonable efforts to maintain availability. However, we do not guarantee uninterrupted or error-free operation.

The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security patches
• DDoS attacks or other external threats
• Failures of third-party infrastructure providers
• Force majeure events

11. Intellectual Property

Our IP: The Service, including its design, code, trademarks, and proprietary materials, is owned by MANAfuel or its licensors. You may not reproduce, modify, or distribute any part of the Service without our written consent.

Game licenses: You are solely responsible for ensuring you have the proper rights and licenses for all game software, mods, and plugins hosted on your Game Servers. We make no representations about game license requirements and are not responsible for your compliance with game developer terms.

Copyright complaints: If you believe content hosted on the Service infringes your copyright, please contact [email protected] with a detailed description of the alleged infringement.

12. Termination

By you: You may cancel your subscription and close your account at any time through the dashboard or by contacting support. Cancellation takes effect at the end of your current billing period.

By us for cause: We may suspend or terminate your account immediately and without notice for violations of these Terms, non-payment, illegal activity, security threats, or if required by law.

By us without cause: We may terminate the Service or your account with 30 days written notice.

Effect of termination: Upon termination, your right to use the Service ceases. Your Content will be deleted after a reasonable grace period. Outstanding fees remain due. Account credit is forfeited upon termination for cause.

Sections 9 (Data), 11 (Intellectual Property), 13 (Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), and 17 (Governing Law) survive termination.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation.

We do not guarantee that the Service will meet your specific requirements, that server performance will meet any particular benchmarks, or that any defects will be corrected.

14. Limitation of Liability

To the maximum extent permitted by law, MANAfuel LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of the cause of action or theory of liability.

Our total aggregate liability for any claims arising out of or relating to the Service shall not exceed the total amount you paid to us in the three (3) months preceding the claim.

These limitations apply even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless MANAfuel LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) the actions of any users connecting to your Game Servers.

16. Dispute Resolution

Before filing any formal legal action, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Any claims arising out of or relating to these Terms or the Service must be filed within one (1) year after the cause of action arises, or such claim is permanently barred.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York for any disputes arising under these Terms.

18. Force Majeure

We shall not be liable for any failure or delay in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet or infrastructure failures, power outages, or DDoS attacks.

19. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and MANAfuel LLC regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: We may assign these Terms without your consent. You may not assign your rights or obligations without our written consent.
• Notices: We may send notices to the email address associated with your account. Notices are effective upon transmission.
